ACCEPTANCE OF TERMS
These Terms and Conditions ("Terms") govern your use of the Converii sustainability platform services ("Service") operated by Converii, DK45065790 CVR
("Converii", "we", "us", or "our").
By creating an account and using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Service.
2. SERVICE DESCRIPTION
Converii provides a digital sustainability planning platform designed for event professionals, enabling regenerative and distributive approaches to event management based on ISO20121 principles.
2.1 Service Tiers Freemium Tier (Free of Charge):
Unlimited materiality exercises
Access to transformational framework questions
Up to 2 event templates
No connection capability between materiality exercises and event templates
Basic reporting features
2.1 Implement Tier (Paid Subscription):
All Freemium tier features
Unlimited event templates
Full connection of materiality exercises to event checklists
Advanced reporting and export capabilities
Additional features as specified on our website at the time of subscription
2.2 Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Service with reasonable advance notice. We will endeavor to provide at least 30 days' notice for material changes affecting paid subscribers.
3. SUBSCRIPTION AND PAYMENT
3.1 Pricing Plans Monthly Subscription: 40.00 EURO per month, charged on a recurring monthly basis
Annual Subscription: 360.00 EURO per year, charged on a recurring annual basis
All prices are stated in Euros (EURO) and include applicable Value Added Tax (VAT) where required by law.
3.2 Payment Processing
All payments are processed securely through Stripe, a third-party payment processor. By subscribing to a paid tier, you authorize Converii to charge your designated payment method on a recurring basis according to your selected billing interval (monthly or annual).
You represent and warrant that:
You have the legal right to use the payment method provided
The payment information you provide is accurate and complete
You will maintain valid payment information throughout your subscription period
3.3 Billing Cycle Monthly Subscriptions:
Your first charge occurs upon subscription confirmation
Subsequent charges occur on the same calendar day each month
If a month lacks your billing day (e.g. subscribing on January 31), billing occurs on the last day of shorter months
Billing Cycle Annual Subscriptions:
Your first charge occurs upon subscription confirmation
Subsequent charges occur annually on your subscription anniversary date
3.4 Receipts and Invoices
You will receive an email receipt for each successful payment to the email address associated with your account.
Any businesses requiring formal invoices should contact support@converii.com.
3.5 Failed Payments
If a scheduled payment fails:
We will notify you via email immediately
We will attempt to process payment again within 3-5 days
You will have 10 days to update your payment information
If payment remains unsuccessful after 10 days, your access to paid features will be suspended
Your account will revert to Freemium tier after 30 days of non-payment
You remain liable for any unpaid subscription fees
3.6 Price Changes
We reserve the right to modify subscription prices.
For existing subscribers:
We will provide at least 30 days' advance notice via email
Price changes take effect on your next billing cycle after the notice period
You may cancel your subscription before the price change takes effect
Continued use after the price change constitutes acceptance of the new price
4. RIGHT OF WITHDRAWAL
This section applies to consumers under Danish and EU law.
4.1 Statutory Right of Withdrawal Under the Danish Consumer Contracts Act and EU Consumer Rights Directive (2011/83/EU), you have the right to withdraw from your purchase within 14 days without giving any reason.
4.2 Withdrawal Period
The 14-day withdrawal period begins:
For monthly subscriptions: From the date you receive confirmation of your subscription
For annual subscriptions: From the date you receive confirmation of your subscription
4.3 How to Exercise Your Right of Withdrawal
To exercise your right of withdrawal, you must inform us of your decision by a clear statement.
You can:

Include: Your name, email address, subscription order number, and date of purchase

Log into your Converii account

4.4 Effects of Withdrawal
If you withdraw from your purchase within the 14-day period:
- We will refund all payments received from you
Refunds will be processed within 14 days from the day we receive your withdrawal notice
Refunds will be made using the same payment method you used for the original transaction
You will not incur any fees as a result of the refund
4.5 Early Performance Exception
IMPORTANT: If you explicitly request that we begin providing the Service during the 14-day withdrawal period, you acknowledge that:
You may lose your right of withdrawal if the Service is fully performed
For subscription services, partial performance does not eliminate withdrawal rights
If you withdraw after partial performance, you may be charged a proportionate amount for services provided up to the time you communicate withdrawal
By clicking "Start Subscription" and confirming your understanding of these terms, you expressly request immediate access to the Service.
4.6 Digital Content Notice Under EU Directive 2011/83/EU Article 16(m), you acknowledge that by accessing digital content (materiality exercises, templates, transformational frameworks) during the withdrawal period, you may lose your right to withdraw.
However, for subscription services, this does not apply to the first 14 days.
5. CANCELLATION AND REFUNDS
5.1 Cancellation by You (After Withdrawal Period)
You may cancel your subscription at any time after the 14-day withdrawal period through: Option 1: Your Converii account - Subscription
Option 2: Stripe Customer Portal - Access via the link in any payment receipt email - Manage subscription > Cancel subscription
Option 3: Email request - Email: info@converii.com - Subject: "Subscription Cancellation" - Include: Your account email and reason (optional)
5.2 Cancellation Effective Date Monthly Subscriptions:
- Cancellation takes effect at the end of your current billing period
You retain access to paid features until the period ends
No refund for the current billing period
No further charges will occur
Annual Subscriptions:
- Cancellation takes effect at the end of your annual period
You retain access to paid features until the annual period ends
No refund for unused portion of the annual subscription (except during 14-day withdrawal period)
No further charges will occur
5.3 Refund Policy (Outside Withdrawal Period)
After the 14-day withdrawal period:
Monthly subscriptions: No refunds for partial months
Annual subscriptions: No refunds for unused portions, except where required by Danish consumer protection law
Exceptional circumstances: Refunds may be granted at our sole discretion for technical failures preventing Service access for extended periods
5.4 Cancellation by Converii
We reserve the right to suspend or terminate your account if:
You violate these Terms and Conditions
You engage in fraudulent, abusive, or illegal activity
You fail to pay subscription fees despite multiple notices
Your use of the Service negatively impacts our systems or other users
Required by law or court order
Notice: We will provide reasonable advance notice (typically 7-14 days) via email before terminating your account, except in cases requiring immediate action for legal, security, or fraud prevention reasons.
Refund upon our termination: - If we terminate for cause (your breach), no refund is provided
If we terminate without cause or due to Service discontinuation, you receive a pro-rata refund for unused subscription time
5.5 Effect of Cancellation Upon cancellation or termination:
- Your access to Implement tier features ceases at the end of your billing period
Your account automatically reverts to Freemium tier
Your data (materiality exercises, templates) remains accessible at Freemium tier limitations
You may re-subscribe at any time to regain Implement tier access
We retain your data according to our Privacy Policy and data retention obligations
6. DATA AND PRIVACY
Your use of the Service is governed by our Privacy Policy, which complies with the General Data Protection Regulation (GDPR) and Danish Data Protection Act (databeskyttelsesloven).
6.1 Data Controller Converii DK4, DK45065790 CVR, is the data controller responsible for processing your personal data.
6.2 Key Privacy Points Your Data Ownership: You retain all ownership rights to content you create using the Service (materiality exercises, event templates, custom frameworks)
Our Processing: We process your personal data only as necessary to provide the Service, as detailed in our Privacy Policy
Data Security: We implement appropriate technical and organizational measures to protect your data Your Rights: Under GDPR, you have rights to access, rectification, erasure, restriction, portability, and objection
Data Export: You can export your checklist data at any time
Data Deletion: You can request deletion of your account and data, subject to legal retention requirements
6.3 Third-Party Processors We use the following third-party processors:
- Stripe: Payment processing (PCI DSS compliant)
- Squarespace: Data hosting and infrastructure
Zapier: Service improvement and analytics
All processors are GDPR-compliant and operate under Data Processing Agreements.
6.4 International Data Transfers
If data is transferred outside the EU/EEA, we ensure appropriate safeguards are in place through:
- Standard Contractual Clauses (SCCs) approved by the European Commission
- Adequacy decisions where applicable
- Other legally recognized transfer mechanisms

7. INTELLECTUAL PROPERTY
7.1 Converii's Intellectual Property The Service, including but not limited to:
- Software, source code, and algorithms
Website design, user interface, and graphics
Transformational framework questions and methodologies
ISO20121:2024 and other based templates and structures
Logos, trademarks, and brand materials
Documentation and help content is owned by Converii and protected by Danish and international copyright, trademark, and intellectual property laws.
License to You: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.
Restrictions: You may not:
Copy, modify, or create derivative works from the Service
Reverse engineer, decompile, or disassemble the Service
Remove or alter any copyright, trademark, or proprietary notices
Use our intellectual property for commercial purposes without written permission
7.2 License to Us: By using the Service, you grant Converii a limited, worldwide, nonexclusive license to:
- Store and process your content to provide the Service to you
Display your content back to you within the Service
Create backup copies for disaster recovery and business continuity
Use anonymized, aggregated data for service improvement and analytics
We will NOT:
Share your content publicly without your explicit permission
Use your identifiable content for marketing without consent
Sell your content to third parties
7.3 Feedback and Suggestions
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution obligations.
8. ACCEPTABLE USE
8.1 Permitted Use
You may use the Service for lawful business or personal purposes consistent with these Terms, including:
Planning and managing sustainable events
Conducting materiality assessments
Creating event templates and checklists
Generating reports for stakeholders
8.2 Prohibited Conduct You agree NOT to:
Security and System Integrity:
Attempt to gain unauthorized access to the Service, other accounts, or our systems
Introduce viruses, malware, or malicious code
Circumvent security features or authentication measures
Perform penetration testing without written authorization
Interfere with or disrupt the Service or servers
Misuse of Service:
Use the Service for illegal, fraudulent, or unauthorized purposes
Violate any applicable laws or regulations
Upload content that infringes intellectual property rights of others
Impersonate any person or entity
Harass, abuse, or harm other users
Commercial Restrictions:
Resell, redistribute, or sublicense the Service
Use the Service to compete directly with Converii
Scrape, data-mine, or automatically extract content in bulk
Create derivative services based on Converii's methodology without license
Share your account credentials with unauthorized users
Content Restrictions:
Upload illegal, defamatory, or offensive content
Distribute spam or unsolicited communications through the Service
Post content promoting violence, discrimination, or hate speech

8.3 Consequences of Violation
Violation of acceptable use policies may result in:
- Warning and request to cease prohibited activity
Temporary suspension of account access
Permanent termination of account without refund
Legal action if violations cause damage or involve illegal activity
Reporting to law enforcement where appropriate
9. DISCLAIMERS AND LIMITATION OF LIABILITY
9.1 Service "As Is" The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to:
- Implied warranties of merchantability
Fitness for a particular purpose
Non-infringement
Uninterrupted or error-free operation
Accuracy or reliability of results
9.2 Service Availability
While we strive to maintain 99%+ uptime:
We do not guarantee uninterrupted, timely, secure, or error-free Service
Scheduled maintenance may temporarily limit access
Third-party service failures (Stripe, hosting providers, internet infrastructure) may affect availability
We are not responsible for delays or failures due to circumstances beyond our reasonable control
9.3 No Professional Advice The Service provides tools and frameworks for sustainability planning but does NOT constitute:
Professional consulting or advisory services
Environmental impact assessments recognized by regulatory bodies
Legal or compliance advice
Guarantees of specific sustainability outcomes
You are responsible for ensuring your use of Service outputs meets your specific legal, regulatory, and business requirements.
9.4 Third-Party Content and Links
The Service may contain links to third-party websites or references to external frameworks (e.g., UN SDGs, ISO 20121:2024Doughnut Economics). We do not endorse or assume responsibility for third-party content, products, or services.
9.5 Limitation of Liability - Consumer Protection Notice IMPORTANT - Danish Consumer Law: Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Danish law, including liability for:
- Death or personal injury caused by our negligence
Fraud or fraudulent misrepresentation
Gross negligence or willful misconduct
Any other liability that cannot be excluded under mandatory Danish consumer protection law (forbrugerbeskyttelseslov)
9.6 Limitation of Liability
- To the Extent Permitted by Law
To the maximum extent permitted by applicable law: Direct Damages:
Our total aggregate liability for any claims arising from your use of the Service shall not exceed the total amount you paid to Converii in the 12 months immediately preceding the event giving rise to liability
For Freemium users, liability is limited to 100 EURO Indirect Damages:
We shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:
Loss of profits, revenue, or business opportunities
Loss of data or information
Loss of goodwill or reputation
Cost of procurement of substitute services
Business interruption even if we have been advised of the possibility of such damages.
9.7 Basis of Bargain
You acknowledge that:
The limitations in this section reflect a reasonable allocation of risk
The Service pricing reflects these limitations
Without these limitations, we could not provide the Service at the current price point
9.8 Force Majeure
We shall not be liable for any failure or delay in performing obligations under these Terms due to circumstances beyond our reasonable control, including:
- Natural disasters, pandemics, or acts of God
War, terrorism, civil unrest, or government actions
Internet or telecommunications infrastructure failures
Cyberattacks not caused by our security negligence
Labor strikes or disputes
10. DISPUTE RESOLUTION
10.1 Governing Law These Terms are governed by and construed in accordance with the laws of Denmark, without regard to conflict of law principles. Danish consumer protection laws apply regardless of choice of law provisions.
10.2 Dispute Resolution for Consumers
If you are a consumer under Danish law (private person purchasing for noncommercial use), you have the following dispute resolution options:

10.3 Dispute Resolution for Business Users
If you are a business user (purchasing for commercial purposes):
- Disputes shall be resolved through negotiation in good faith
If negotiation fails, disputes shall be subject to the exclusive jurisdiction of Danish courts

11. CHANGES TO TERMS
11.1 Right to Modify
We reserve the right to modify these Terms at any time to reflect:
- Changes in applicable law or regulatory requirements
- New features or functionality
- Improvements to clarity or fairness
Business model changes
11.2 Notice of Changes For material changes affecting your rights or obligations:
We will notify you via email at least 30 days before changes take effect
We will post updated Terms on our website with a revised "Last Updated" date
We will highlight material changes in the notification email
For minor, non-material changes:
We may update Terms with 7 days' notice or immediately for corrections
Notice will be posted on our website Converii Terms
11.3 Acceptance of Changes For Existing Subscribers:
- Your continued use of the Service after the effective date constitutes acceptance of updated Terms - If you do not agree to changes, you may cancel your subscription before the effective date - Cancellation rights under Section 5 apply For New Subscribers:
- By creating an account or subscribing after changes take effect, you accept the updated Terms
11.4 Version History
We maintain a version history of Terms and Conditions. Previous versions are available upon request to info@converii.com.
12. MISCELLANEOUS
12.1 Entire Agreement These Terms, together with our Privacy Policy and any supplemental terms for specific features, constitute the entire agreement between you and Converii regarding the Service and supersede all prior agreements, understandings, and communications.
12.2 Severability If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction:
That provision shall be limited or eliminated to the minimum extent necessary
All other provisions shall remain in full force and effect
We will replace the invalid provision with a valid provision that most closely reflects our intent
12.3 No Waiver Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
12.4 Assignment By You: You may not assign, transfer, or delegate these Terms or your rights and obligations without our prior written consent. Any attempted assignment in violation of this provision is void.
By Us: We may assign these Terms, in whole or in part, to:
Any affiliate or subsidiary
Any successor entity in the event of merger, acquisition, or sale of assets
Any third party with reasonable notice to you
12.5 Relationship of Parties Nothing in these Terms creates a partnership, joint venture, employment, franchise, or agency relationship between you and Converii. You have no authority to bind Converii contractually.
12.6 Survival Provisions that by their nature should survive termination shall survive, including but not limited to:
Intellectual property rights
Limitation of liability
Indemnification obligations
Dispute resolution provisions
Payment obligations for services rendered
12.7 Language and Translation English Version Prevails: These Terms are drafted in English. Translations may be provided for convenience, but in the event of any conflict or ambiguity, the English version shall prevail.
Consumer Protection: Notwithstanding the above, Danish consumer protection laws apply to Danish consumers regardless of the language version consulted.
12.8 Electronic Communications You consent to receive communications from us electronically, including:
- Email notifications about your account
- Service updates and announcements
Marketing communications (with opt-out option)
Legal notices required by law Electronic communications satisfy any legal requirement that communications be in writing.
12.9 Headings Section headings are for convenience only and do not affect interpretation of these Terms.

APPENDIX A: DEFINITIONS
"Consumer" / "Forbruger": A natural person acting for purposes outside their trade, business, craft, or profession.
"Business User" / "Erhvervskunde": A legal entity or natural person acting within their trade, business, craft, or profession.
"Personal Data" / "Persondata": Any information relating to an identified or identifiable natural person, as defined by GDPR.
"Service": The Converii sustainability planning platform, including all features, functionality, content, and user interfaces.
"Account": Your registered user profile providing access to the Service.
"Content": All data, text, information, graphics, and materials uploaded, created, or generated using the Service.
"Intellectual Property": All patents, trademarks, copyrights, trade secrets, knowhow, and other proprietary rights.
